College Republicans Club Constitution and By-Laws, as filed with
FSU Student Activities and Organizations --Amended, Spring
2006--
Article I: Name and Affiliation
Section 1: The name of this organization shall be the Florida State University (FSU) College Republicans, hereinafter referred to as the club.
Section 2: The club shall be affiliated with the Florida Federation of C (FFCR) and the College Republican National Committee (CRNC). The club should be responsible for the rules and regulations determined by FSU; but moreover, to the club’s constitution and bylaws.
Article II: Objectives
Section 1: To provide a political forum for all Republicans at FSU and to encourage the development of an intelligent, dynamic, and cooperative group.
Section 2: To provide through it’s organization, a means to encourage participation in the activities of the Republican Party.
Section 3: To honorably promote the platform and candidates of the Republican Party.
Section 4: To provide FSU students and club members with the means of obtaining practical political knowledge.
Section 5: To accurately represent and transmit the views of the FSU community to the leadership of the Republican Party.
Article III: Powers and Responsibilities
Section 1: The powers of the club shall be to direct, manage, supervise, and control its business, property, funds, and any other function that is deemed necessary in order to carry out the club’s objectives.
Section 2: It shall be the responsibility of the club to aid any and all College Republican clubs, clubs sharing similar interests, the CRNC, and the FFCR to the best of its ability.
Section 3: The club shall be responsible for the coordination of its activities and for the concerns of its members.
Article IV: Constitutional Amendments and Revisions
Section 1: Proposed amendments and revisions to the club’s constitution and bylaws may be considered at any official E-Board meeting, provided that all E-Board members have been given a written copy of the amendment or revision fourteen (14) days before it shall be voted on. The fourteen days is inclusive of the day the proposed amendments are provided.
Section 2: The proposed amendment and revisions of the club’s constitution and bylaws must be voted on in a membership meeting within thirty (30) days of the E-Board meeting at which said amendment or revision is considered by the E-Board.
Section 3: Proposed amendments and revisions to the club’s constitution and bylaws must acquire at least three (3) favorable E-Board votes in an E-Board meeting prior to a membership meeting.
Section 4: Approval of a proposed amendment and revisions to the club’s constitution and bylaws requires a three-fifths (3/5) vote of all registered active members in attendance of the membership meeting.
Section 5: No less than twelve (12) days notice must be given to all registered, active members before an amendment or revision to the club’s constitution or bylaws can be considered.
Article V: Interpretation of the Constitution and Bylaws
Section 1: The E-board will bear the responsibility of interpreting the club’s constitution and bylaws.
Section 2: Any E-Board member or club member may request interpretation of any section of this constitution and /or bylaws of any situation/issue which the club might need to consider.
Section 3: Any request for interpretation must be fully detailed and explained—interpretation will only be as specific as the request.
Section 4: Requests should be typed and submitted to all to all E-Board members at least one (1) week prior to the E-Board meeting in which the request is to be judged.
Section 5: Favorable judgment of any request must receive at least three-fifths (3/5) vote form the eligible E-Board members. Voting eligibility of an E-Board member(s) will be denied due to a conflict of interest.
Section 6: A conflict of interest occurs when a request pertaining to an E-Board member’s conduct, participation, or activities is made. Such a conflict will forfeit that E-Board member’s right to vote on said request. In the case that a conflict of interest arises and an E-Board member refuses to recuse his or herself from the voting, a vote shall be undertaken by the remaining E-Board members. A unanimous vote is necessary in order to forfeit the E-Board member’s voting rights.
Section 7: A fully detailed and expanded judgment will be rendered within one (1) week of the E-Board meeting which the request was considered. A copy of such judgment will be rendered to the questioning party and a record of the judgment will be rendered to the club’s Secretary to remain on file.
Article VI: Finance
Section 1: Upon the request of any and all club members, Republican organization, or FSU official, an itemized financial report shall be rendered within two weeks of a written request to both the Chair and the Treasurer.
Section 2: All expenses shall be approved by vouchers to be signed by the club’s current Chair. All claims for repayment from the club’s Treasurer must be accompanied by receipts and said vouchers.
Section 3: All obligations owed shall be satisfied by club check to be verified by the Treasurer and signed by a designated signatory.
Section 4: The club’s Chair is obligated to leave the club’s finances in good balance and current on all debt incurred to the newly elected chair.
Article VII: E-Board Elections and Qualifications
Section 1: Election of E-Board members will occur once a year, three weeks before the last day of the spring semester.
Section 2: E-Board terms are for one full year.
Section 3: E-Board members must meet FSU requirements to hold office for a recognized university organization.
Section 4: A candidate for an E-Board position must be an active member for at least six (6) weeks, to the exclusion of the “payment of dues” stipulation.
Section 5: All E-Board members must be registered Republicans.
Section 6: A member can only run for one position per election.
Section 7: E-Board members must receive fifty (50%) plus one (1) vote to win a respective election.
Section 8: If an election for a position does not receive a majority (50%, plus one person/vote), then the two (2) highest vote-receiving candidates will participate in a run-off election directly after the primary election.
Section 9: E-Board elections shall be conducted as detailed in Robert’s Rules of Order, Newly Revised, 1990.
Section 10: Members are eligible to vote in E-Board elections if they are personally present on Election Day and are considered an active member (with the exclusion of the “payment of dues” stipulation”).
Section 11: The Chair shall appoint vacant or vacated positions in the E-Board and an Executive Director—upon E-Board approval, this arrangement is permanent until the next yearly E-Board election.
Section 12: E-Board and Executive Director appointments shall be approved by at least a three-fifths (3/5) vote of all E-Board members.
Section 13: In the circumstance that the Chair and Vice Chair leave the club, a popular election will take place upon the earliest and most convenient time with the coordination of the Membership Chair, Secretary and Treasurer.
Article VIII: E-Board Position Description
Section 1: The Chair shall coordinate the short and long range goals of the club through the establishment of the CRNC, FFCR, FSU, and club policy. The Chair shall conduct all E-Board meetings and shall represent the club in all official capacities. He/She shall be responsible for personal contact of all political entities, both individuals and organizations, for the betterment of the club and its membership. This includes office holders, other clubs and organizations, financial supporters, and members. The Chair shall also be responsible for contacting members in Leon County and maintaining strong contact with county clubs, organizations, and public and private officials. He/She is responsible for the maintenance of continuous communication among the FFCR, CRNC, and the club and for the coordination of functions with the FFCR and the CRNC.
Section 2: The Vice Chair is directly responsible to the Chair for the administration of the club. The Vice Chair will assist the Chair as a state liaison. In the absence or withdrawal of the Chair, the Vice Chair will assume the role of the Chair. The Vice Chair is responsible for acquiring money through soliciting supporters and organizing fund raising events for the club.
Section 3: The Membership Chair is responsible for the effective maintenance of the club’s membership through membership tables, information, and unification. The Membership Chair shall also be directly responsible to the Chair for the management of social functions and membership services. The Membership Chair will coordinate and be responsible for providing successful membership services/functions, including the membership meetings. In the absence or withdraw of both the Chair and the Vice Chair, the Membership Chair will coordinate a special election pursuant to Article 7 Section 13. The membership Chair is also responsible for advertisement of all club meetings.
Section 4: The Secretary is directly responsible to the Chair for keeping all accurate records for the club. The Secretary will maintain continuous publication and distribution of the club’s newsletter and manage all communication for the club. Additionally, the Secretary will handle any other duties as deemed necessary by the Chair.
Section 5: The Treasurer is directly responsible to the Chair for all financial activities of the club, including, but not limited to, fundraising and budgeting. The Treasurer shall maintain the integrity of all finances; keep accurate records of all financial transactions, reimbursements, and all things necessary and proper. Additionally, the Treasurer will handle any other duties as deemed necessary by the Chair.
Section 6: No club member in his or her capacity as an E-Board member or member representing the club shall endorse or oppose any Republican candidate before or during a primary election or primary run-off election.
Article IX: Committee Chairs
Section 1: Committee chairs must be active members
Section 2: Committee chairs are appointed by the Chair and approved by a majority vote (50%, plus one person/vote) of all E-Board members.
Section 3: All committee chairs will be supervised by, and coordinate their efforts with, the proper E-Board members—as directed and deemed necessary by the Chair.
Section 4: The Social Chair is responsible for the successful implementation of social activities to increase involvement and club activism. Any activity outside of club meetings, and perhaps in conjunction with club meetings, is the Social Chair’s responsibility. The Social Chair must organize creative and noteworthy events to inspire leadership and participation in the club by members.
Article X: Membership
Section 1: No university student may be denied membership on the basis of race, creed, religion, gender, age, sexual orientation, national origin, marital status, parental status, disability, or the inability to pay dues.
Section 2: will be three (3) recognized divisions of members: active, associate, and honorary.
Section 3: Active members will receive all benefits of membership, including, but not limited to, the right to vote in elections. Active membership is distinguished by being an enrolled FSU student and completion of the proper forms. To maintain active member status, students must attend 50% of all general meetings and one (1) club function during the Fall and Spring semesters. (A club function is defined as anything that will help serve the Republican cause). In addition, club dues must be paid three (3) weeks before the general election in order to retain the right to vote. If a member can not meet these requirements or a member has a question as to whether they have met these requirements, that member may address the E-Board in person for an evaluation of their membership status. These situations will be handled on an individual basis. A list of all members deemed active and, thus eligible to vote will be made public seven (7) days before an official election. A member wishing to protest the official list must inform the E-Board in writing at least three (3) days before the official election date; at which time, the E-Board will discuss the situation and render a decision.
Section 4: Associate members will receive basic benefits of membership providing they are FSU students and have completed the proper forms. However, associate members are ineligible to vote and can not run for office.
Section 5: Honorary members will receive basic benefits, distinguished by not being enrolled as a student at FSU and significant contribution to the club. Honorary members must be approved by three-fifths (3/5) of all E-Board members.
Article XI: Impeachment and Expulsion
Section 1: Impeachment charges may be brought against an E-Board member(s) by either a petition which includes the signatures of one third (1/3) of the club’s active members or by a petition signed by three-fifths (3/5) of the E-Board. Such a petition shall be filed with the club’s Secretary, Chair, or Advisor.
Section 2: A three-fifths (3/5) vote of the E-Board and three-fifths (3/5) vote of all active members shall be necessary for an impeachment conviction, excluding the vote(s) of the accused. Such convictions shall result in the immediate removal from the office of the accused E-Board member(s).
Section 3: The active members shall be notified of the impeachment trial at least fifteen (15) days prior to the trial. The accused shall receive advanced written notice at least twenty (20) days prior to the E-Board meeting in which the trial shall occur.
Section 4: Grounds for impeachment shall include malfeasance in office, failure to perform the respective office’s duties, a misuse of official capacity, action contrary to the CRNC, CRF, FSU, and the club’s constitution and bylaws, and action detrimental to the effective functioning of the club.
Section 5: The procedure for expulsion of a member(s) shall be the same as that delineated for the impeachment of an E-Board member.
Section 6: Grounds for expulsion of a member(s) shall be statements and actions detrimental to the club and/or conduct unworthy of a member of the club.
Section 7: Any E-Board member(s) who is absent to three (3) or late to nine (9) E-Board meetings shall be subject to a vote of confidence and may be removed from office by a three fifths (3/5) vote of all active members.
Section 8: Three (3) late arrivals of an E-Board member will count as one (1) absence to the E-Board meeting.
BY-LAWS
Article 1: E-Board Meeting Structure
Section 1: Introduction of topic by the Chair.
Section 2: Officer's opinions, comments, suggestions, information upon the Chair's recognition from the Vice Chair to the Treasurer.
Section 3: Discussion -- open for debate. The Chair will recognize an officer for control of the floor.
Section 4: Summation by the Chair.
Section 5: Discussion on summation -- same as Article 1, Section 3 of these by-laws.
Section 6: Vote on summation/movement. It takes a majority (50% plus 1 person/vote) of E-Board members for a vote to pass.
Section 7: For Article 1, Section 2-5 of these by-laws, officers should take notes on their points and wait until the officer with the floor finishes and upon the Chair's recognition.
Section 8: If officers believe that their idea is best, they should state their idea without judging other officers'; if their idea is truly best, it will persevere by the weight of its own merit.
Section 9: The stages of E-Board meetings are: Committee reports, Regular business, Old business, New business.
Section 10: E-Board meetings must have quorum. Quorum shall be defined as three-fifths (3/5) of E-Board members.
Section 11: E-Board meetings must officially occur once a week. E-Board members will not be held responsible for E-Board attendance when FSU classes are interrupted by a day(s) off or after seven (7) days previous to the beginning of exam week.
Section 12: E-Board meetings must be open to the public and take place (from week to week) in the same place, time, and day. E-Board members must have two (2) weeks notice if E-Board meetings are to deviate from the arranged place, time, and/or day.
Article 2: Membership Meeting
Section 1: The purposes of membership meetings are to entertain, unify, provide an opportunity for members to get involved with Republican politics, meet each other, E-Board members, public officials, and/or speakers with similar interests.
Section 2: The format of such meeting will be determined by the Chair and other E-Board members so as to involve greater numbers of club members and the FSU community.
Section 3: There must be at least one regularly scheduled membership meeting per month for the fall and spring semesters. Regularly scheduled membership meetings' day of the week (or day of a week of the month; for example, "the first Tuesday of the first week of every month") and time of the day must be established within the first month of each semester.
